"을"은 "갑"의 ISO 9001:2000 요구사항에 맞는 품질경영시스템이 선정된 인증기관으로부터 인증서를 획득할 수 있도록 필요한 모든 교육 및 자문을 제공한다. 2. "을"이 제공하는 자문 및 교육에 대한 상세한 사항은 첨부된 "ISO 9000 품질경영시스템 컨설팅 제안서(No. QC/P02-917A/2001.02.19)"에 명시되어 있다. 3. SERVICE COVERAGE 1.1 XYZ shall provide advice and suggestions (including education and trainings) as is needed for ABC's Quality Management System to be certificated by the certification-related institute which ISO 9001:2000 has found as meeting its requirements and qualified to give such certification. 1.2 All the detailed services XYZ shall provide are specified in the supplement to this Agreement, "ISO 9000 Quality Management System Consulting Proposal" (No. QC/P02-917A/2001.02.19). 1.3 A change in this "Service Coverage" at the request of ABC shall work out only if an additional agreement related to that clause is accepted and agreed to by the parties. -원문- 제 5 조 (용역비용 지불조건) 1. A fee for daily consultative services based upon the proposal, p16 as prescribed in the clause 1.2 shall be ￦540,000, and educational services per hour be ￦120,000. -원문- 제 6 조 (계약 해지) 1. "갑"은 "을"이 자문용역 기간 중 본 계약 조항을 위반하거나, "을"의 귀책사유로 인해 본 계약을 이행할 수 없다고 판단될 때 본 계약을 해지할 수 있다. 2. 본 용역 계약과 관련하여 "갑"이 본 계약 조항을 위반하거나, "을"이 성실히 책임을 다하고 합당한 조치를 취했음에도 불구하고 "갑"이 "을"의 지도·자문에 충분히 협조하지 않아, 본 계약을 이행할 수 없다고 판단될 때 "을"은 본 계약을 해지할 수 있다. 3. 본 용역 계약을 해지할 경우, 어느 일방이 계약 조항을 위배하여 해지하는 경우를 제외하고, 양측은 상대방에게 계약 해지 30일전까지 이를 통보하여야 한다. 4. 계약 해지 시 에는 제 2조 1항에 정한 대로 "갑"은 "을에게 계약종료일까지 수행된 용역 비를 정산하여 지급해야 한다. 단, 제1 조 2항의 "을"의 제안서 제16쪽에 의거 일일 자문 용역 비는 ￦540,000으로 하고 시간당 교육 용역 비는 ￦120,000으로 정산한다 -번역문- Article 6. TERMINATION 6.1 ABC may terminate this Agreement If XYZ hereto (i) materially breaches any provision of this Agreement, (ii) can't fulfill a duty to provide services, which is attributed to XYZ. 6.2 XYZ may terminate this Agreement if ABC hereto (i) materially breaches any provision of this Agreement, (ii) wouldn't follow requests for cooperation demanded, or advice given by XYZ, which is related to ABC's Quality Systems, although XYZ has fulfilled its duty as a faithful service provider. 6.3 If either party would terminate this Agreement, the party shall notify the other party 30 days before the termination of this Agreement except the termination arising from a material breach of any provision of this Agreement by the party. 6.4 When this Agreement is terminated, ABC shall pay XYZ's fee as prescribed in the clause 2.1 for the services XYZ will have provided until this Agreement is terminated. "을"에 의한 "갑"의 기밀 정보 유출 시 에는 "을"은 "갑"에게 법적 배상 책임이 있다. -번역문- Article 8. CONFIDENTIAL INFORMATION ABC and XYZ agree not to use any Confidential Information for any purpose except as permitted under this Agreement. ABC and XYZ agree not to disclose or reveal any Confidential Information to third parties. All pieces of information shall be considered as confidential except the interested party allows them to be revealed or disclosed by the other party. XYZ shall indemnify ABC for XYZ's revelation or disclosure of ABC's confidential information.
