¹ø¿ªÀº âÁ¶ÀûÀÎ ÀÛ¾÷ÀÌ´Ù. âÁ¶·ÂÀÌ °á¿©µÈ ¹ø¿ªÀº ´Ü¼øÇÑ ´Ü¾îÀÇ ¹Ýº¹ÀÏ »ÓÀÌ´Ù. ÇÊÀÚ´Â ´Ù³â°£ ¹ø¿ª ½Ç¹«¿¡ Á¾»çÇϸ鼭 ÀÌ·¯ÇÑ °æ¿ì¸¦ ¸¹ÀÌ º¸¾Ò´Ù.
º» °è¾à¼­ »ùÇÃÀº ÇÊÀÚ°¡ ¿µÀÛÇÑ °è¾à¼­¿¡¼­ ¹ßÃéÇÑ °ÍÀ¸·Î¼­, Çѱ۷ΠµÈ ¿øº»ÀÇ ³»¿ëÀ̳ª Çü½Ä ȤÀº ¹®Àå ÀÚü¸¦ ¼öÁ¤Çؼ­ ¿ø¾î¹ÎÀÇ ¾î°¨¿¡ °¡Àå °¡±õ°Ô ¹ø¿ªÇÑ ¸¹Àº »ùÇà ÁßÀÇ ÀϺκÐÀÌ´Ù. ½ÇÁ¦·Î ¿ø¹®À» º¸¸é ¸ÂÃã¹ýÀ̳ª ¹®ÀåÀÌ ¾î»öÇÏ¿©, ¸íÈ®ÇÑ Àǹ̸¦ ¾Ë ¼ö ¾ø´Â °æ¿ì°¡ ÀÖ´Ù. º» »ùÇÃÀº ±×·¯ÇÑ ¹®Á¦Á¡¿¡ ´ëÇÑ ÇϳªÀÇ ÁöħÀÌ µÉ °ÍÀ¸·Î »ý°¢µÈ´Ù. Âü°í·Î, º» °è¾à¼­¿¡¼­ ¾ð±ÞµÇ´Â ȸ»ç¸íÀº ÇØ´ç ȸ»çÀÇ ±ÇÀÍ º¸È£ Â÷¿ø¿¡¼­ ½ÇÁ¦ ȸ»ç¸í°ú´Â ´Ù¸£´Ù.

BUSINESS COOPERATION AGREEMENT

This ¡°Business Cooperation Agreement¡± (this ``Agreement¡¯¡®) is entered into as of the _________ day of _________, 2002 between Ganadarama Co.,Ltd.., a corporation organized under the laws of the people¡¯s Republic of China with the primary place of business at __________________ (this ``ABC¡¯¡®) and Honggildong Co.,Ltd., a corporation organized under the laws of the Republic of Korea with the primary place of business at ________________(this ``XYZ¡¯¡®).

RECITALS

Whereas ABC and XYZ as the parties concerning this Agreement agree to make a contract to the effect that ABC and XYZ will cooperate upon their business, using their own core competences.

NOW THEREFORE, in consideration of the premises, and the mutual covenants and agreements herein set forth, the parties agree as follows.

WITNESSETH:

Article 1. GENERAL PROVIONS
1.1 PURPOSE. The purpose of this Agreement is to provide for all the rights and liabilities, and other details related to a business cooperation between ABC and XYZ specified in this Agreement hereunder, which shall be faithfully and forcefully abided by the parties.

1.2 DEFINITIONS.

(a) ¡°Manufactured Products¡± shall mean the finished products of ¡°Neobile¡± equipments put together by XYZ.

(b) ¡°PDA-related Parts¡± shall mean the half-finished products of ¡°PDA¡± manufactured by ABC, which is needed to manufacture the Neobile equipments put together by XYZ

(c) ¡°Business Cooperation¡± shall mean that ABC and XYZ cooperate on their business with each other to achieve the mutual good, using their core competences.

(d) The extent to which the terms in this Agreement hereunder are applied is limited to this Agreement, and the undefined terms in this Agreement are interpreted hereby in accordance with and governed by a commercial practice.

1.3 DURATION.

(a) This Agreement shall continue in effect for a year beginning now when it is entered into.

(b) The duration of this Agreement shall be extended in the unit of a year so long as the parties don¡¯t raise an objection against its extension after this Agreement has expired.

1.4 MUTUAL COOPERATION.

(a) The parties shall cause this Agreement to be enforced and faithfully abided by them.

(b) The parties may demand either of the parties to disclose the related materials to the other when carrying their business, and cooperate on some part of their own business with each other.

1.5 EFFECTIVE DATE. This Agreement shall come into effect upon the date when the parties hereto have added their signatures or names and seals.

1.6 CONFIDENTIAL INFORMATION AND INTELLECTUAL PROPERTY RIGHT.

(a) The parties agree not to disclose to third parties any confidential information including all data acquired when carrying their business.

(b) The parties agree to protect an intellectual property right to the products of either party, not infringing it.

1.7 TERMINATION.

(a) If either party hereto materially breaches any provision of this Agreement, the other party (the ¡°Non-breaching Party¡±) shall request the party hereto (the ¡°Breaching Party¡±) to cure such breach. If the breach is not cured, then the Non-breaching Party shall have the right to terminate this Agreement.

(b) The ¡°Breaching Party¡± as prescribed in the clause 1.7 (a) shall indemnify the ¡°Non-breaching Party¡± for its breach.

(c) Neither party will incur any indemnification as prescribed as the clause 1.7 (b) to the other party on account of any loss or damage resulting from any delay or failure to perform all or any part of this Agreement if such delay or failure is caused, in whole or in part, by events, occurrences, or causes beyond the reasonable control and without limitation, acts of God, strikes, lockouts, riots, acts of war, earthquakes, fire and explosions.

1.8 AMENDMENT AND INTERPRETATION.

(a) The parties agree this Agreement not to be amended except that force majeure, as a change in surroundings, is faced. A possible amendment of this Agreement shall be made in a written form prepared by the parties.

(b) The parties could prepare a separate agreement concerning this Agreement where the separate agreement, if there is a contradiction in the interpretation of the two agreement, is prior to this Agreement to be in effect.

(c) Other deliberates are interpreted in accordance with and governed by a commercial practice.

Article 2. RIGHTS AND LIABILITIES OF THE PARTIES
2.1 RIGHTS AND LIABILITIES OF ABC.

(a) ABC shall provide XYZ with the ¡°PDA-related Parts¡± and other parts necessary for the ¡°Manufactured Products¡±.

(b) Given the clause 2.1 (a), ABC agrees not to provide entities other than XYZ with the products without XYZ¡¯s prior consent, which shall be supplied to XYZ.

(c) ABC shall provide XYZ with not only the ¡°Manufactured Products¡± and other technical know-how data necessary for a certification by the related government office, but also advice and suggestions as requested by XYZ.

(d) ABC shall provide XYZ with additional products against a breakage among the ¡°PDA-related Parts¡± and other parts, and used to do after-sale service on them, which deliberates are separately agreed upon. ABC shall do an after-sale service on the expendable supplies for a consideration.

(e) ABC shall have an exclusive right to sell the product of ¡°Neobile¡± made by XYZ with ABC¡¯s trademark in the people¡¯s Republic of China.

(f) ABC shall be certificated by the related government office in the people¡¯s Republic of China to sell a product group of ¡°Neobile¡± in the place.

(g) ABC could request XYZ to provide all data to sell the product group of ¡°Neobile¡± to ABC, and XYZ shall respond to a request for advice by ABC.

2.2 RIGHTS AND LIABILITIES OF XYZ.

(a) XYZ agrees not to use the products provided by ABC for others than the components for the products manufactured by XYZ.

(b) XYZ agrees to provide its own products of ¡°Neobile¡± with ABC¡¯s trademark to ABC, and not to sell them with other entities¡¯ trademark without ABC¡¯s prior consent in the people¡¯s Republic of China.

(c) XYZ shall provide ABC with its additional products against a breakage among the product group of ¡°Neobile¡± provided by XYZ, or used to do an after-sales service on them, which deliberates are agreed upon.

(d) In order to sell its own products of ¡°Neobile¡±, XYZ shall be certificated by the related office of the other regions except for the people¡¯s Republic of China.

(e) XYZ shall faithfully respond to a request for all data which are needed to sell the products of ¡°Neobile¡± by ABC

Article 3. COMMON PROVISIONS
3.1 PRICE.

(a) The parties shall prepare their price list of products.

(b) Given the clause 3.1 (a), a monetary unit is in US$.

3.2 PRODUCT ORDER.

(a) The parties agree that the time when they have a mutually irrevocable L/C opened is when a formal order sheet arrives.

(b) Given the clause 3.2 (a), either of the parties shall notify the other party in advance that L/C has been opened.

3.3 PRODUCT DELIVERY AND TERM.

(a) The products manufactured by ABC shall be delivered to XYZ within 6 weeks after XYZ has opened an irrevocable L/C.

(b) The products manufactured by XYZ shall be delivered to ABC within 10 weeks after ABC has opened an irrevocable L/C.

3.4 QUANTITY.

(a) In the year 2002, ABC shall purchase 5,000 sets of ¡°Neobile¡± from XYZ to sell in the people¡¯s Republic of China. XYZ shall purchase more than 3,000 sets of ¡°PDA-related Parts¡± from ABC to sell in the Republic of Korea and other markets.

(b) After the year 2002, XYZ shall have purchased 30,000 sets of ¡°PDA-related Parts¡± from ABC annually which will be used to manufacture ¡°Neobile¡±. ABC shall have purchased 20,000 sets of ¡°Neobile¡± from XYZ to sell in the people¡¯s Republic of China.

(c) Given the clauses 3.4 (a) and 3.4 (b), ABC and XYZ could open their L/C dividedly.

Article 4. MISCELLANEOUS
4.1 DEVELOPMENT OF NEW PRODUCTS.

(a) The parties shall try their best to exchange pieces of information which belong to their respective countries and technologies with each other, manufacture the best quality of products, and develop a new product.

(b) When the parties develop a new product related to the contracted-upon products, in the first place, the parties shall discuss what its business will be like.

4.2 MISCELLANEOUS. The parties shall maintain a business partnership by making a mutual cooperation in marketing of and market research on other items held respectively apart from the contracted-upon products.

4.3 SETTLEMENT OF DISPUTES AND JURISIDICTION. The parties agree to have deliberates not specified in this Agreement agreed upon in accordance with and governed by a commercial practice. Other disputes, controversies, or differences which may arise between the parties, out of or in relation to or in connection with this Agreement, or for the breach thereof, shall be settled in the jurisdiction of the court in the place where ABC is located.

ABC and XYZ shall prepare this ¡°Business Cooperation Agreement¡± in duplicate, either of which each party will receive to be liable for each other hereunder.

IN WITNESS WHEREOF, ABC and XYZ have caused this ¡°Business Cooperation Agreement¡± to be executed and signed by their respective duly authorized representatives as of the date first written above.

2. ¡°PDA °ü·ÃºÎÇ°¡±À̶ó ÇÔÀº ¡°À»¡±ÀÇ Neobile ÀåºñÀÇ »ý»êÀ» À§ÇØ ÇÊ¿äÇÑ ¡°°©¡±ÀÌ »ý»êÇÏ´Â ¹ÝÁ¦Ç° »óÅÂÀÇ PDA¸¦ ¸»ÇÑ´Ù.

3. ¡°¾÷¹«Á¦ÈÞ¡±¶ó ÇÔÀº ¡°°©¡±°ú ¡±À»¡±ÀÇ »óÈ£ÀÇ ÀÌÀÍÀ» À§ÇÏ¿© °¢ »ç°¡ °¡Áø ÀåÁ¡À» ¼­·Î¿¡°Ô Çù·ÂÇÏ¿© ¾÷¹«ÀÇ ÀϺθ¦ Á¦ÈÞÇÔÀ» ¸»ÇÑ´Ù.

3. ¡°°©¡±Àº ¡°Á¦Ç°»ý»ê¡± ¹× °ü·Ã °ü°ø¼­ ÀÎÁõ¿¡ ÇÊ¿äÇÑ ±â¼ú ÀÚ·á Á¦°øÀ» ÇØ¾ß ÇÏ¸ç ¡°À»¡±ÀÇ ÀÚ¹®¿¡ ¼º½ÇÈ÷ ´ë´äÇÏ¿©¾ß ÇÑ´Ù.

4. ¡°°©¡±Àº ¡°PDA °ü·ÃºÎÇ°¡± ¹× ±âŸ ºÎÇ°ÀÇ Æļհú A/S¸¦ À§ÇÏ¿© ¡°À»¡±°ú º°µµ·Î ÇùÀÇµÈ Ãß°¡ ¼ö·®À» °ø±ÞÇØ¾ß Çϸç,¼Ò¸ð¼º ºÎÇ°ÀÇ À¯»ó A/S¸¦ ¼öÇàÇØ¾ß ÇÑ´Ù.

5. ¡°°©¡±Àº ¡°À»¡±ÀÇ Á¦Ç° Neobile Á¦Ç°±ºÀ» ¡°°©¡±ÀÇ »óÇ¥·Î Áß±¹ µ¶Á¡ ÆǸűÇÀ» °¡Áø´Ù.

6. ¡°°©¡±Àº NeobileÁ¦Ç°±ºÀÇ Áß±¹ ³» ÆǸŸ¦ À§ÇÑ Áß±¹ ³» °ü·Ã °ü°ø¼­ÀÇ ÀÎÁõÀ» ¹Þ¾Æ¾ß ÇÑ´Ù.

7. ¡°°©¡±Àº Neobile Á¦Ç°±ºÀÇ ÆǸſ¡ ÇÊ¿äÇÑ ÀڷḦ ¡°À»¡±¿¡°Ô ¿ä±¸ ÇÒ ¼ö ÀÖÀ¸¸ç ¡°À»¡±Àº ¡°°©¡±ÀÇ ¿ä±¸¿¡ ¼º½ÇÈ÷ ´ë´äÇØ¾ß ÇÑ´Ù.

1. ¡°À»¡±Àº ¡°°©¡±¿¡°Ô °ø±Þ ¹ÞÀº ¹°Ç°À» ¡°À»¡±ÀÌ »ý»êÇÏ´Â Á¦Ç°ÀÇ ºÎºÐÇ°ÀÌ ¾Æ´Ñ ¿ëµµ·Î »ç¿ëÇÒ ¼ö ¾ø´Ù.

2. ¡°À»¡±Àº ¡°°©¡±ÀÇ »óÇ¥·Î NeobileÁ¦Ç°±ºÀ» °ø±ÞÇϸç,¡±°©¡±ÀÇ µ¿ÀÇ ¾øÀ̴ Ÿ »óÇ¥·Îµµ Áß±¹À¸·Î ÆǸŸ¦ ÇÒ ¼ö ¾ø´Ù.

3. ¡°À»¡±Àº NeobileÁ¦Ç°±ºÀÇ ÆÄ¼Õ ¹× A/S¸¦ À§ÇÏ¿© ¡°°©¡±°ú ÇùÀÇÇÑ Ãß°¡ ¹°·®À» °ø±ÞÇÏ¿©¾ß ÇÑ´Ù.

4. ¡°À»¡±Àº NeobileÁ¦Ç°±ºÀÇ ÆǸŸ¦ À§ÇØ Áß±¹À» Á¦¿ÜÇÑ ÀüÁö¿ªÀÇ °ü·Ã±â°ü ÀÎÁõÀ» ȹµæÇØ¾ß ÇÑ´Ù.
